01Agreement to these Terms

By accessing or using this website, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. These Terms form a binding agreement between you and IMG DEV. LLC.

02Who we are

IMG DEV. LLC is a limited liability company organised under the laws of the State of Michigan, United States. It develops and publishes software applications. Throughout these Terms, “IMG DEV.”, “we”, “us”, and “our” refer to IMG DEV. LLC, and “you” refers to the person or entity using the site.

03Eligibility

You must be at least 13 years old to use this website. If you are under the age of majority where you live, you may use the site only with the involvement of a parent or legal guardian. By using the site you represent that you meet these requirements and that you are not barred from doing so under any applicable law.

04Acceptable use

You may view, browse, and share this site for lawful personal and business purposes. You agree that you will not:

• use the site in violation of any applicable law or regulation;
• attempt to gain unauthorised access to the site, its servers, or any connected system or network;
• interfere with or disrupt the site, including by introducing malware or by placing an unreasonable load on our infrastructure;
• scrape, harvest, or otherwise collect information from the site by automated means for the purpose of sending unsolicited communications;
• use the contact form to transmit spam, chain letters, harassment, threats, or unlawful content;
• reverse engineer or attempt to derive source code from any software we make available, except to the extent that restriction is prohibited by law;
• misrepresent your identity or your affiliation with any person or organisation.

05Intellectual property

The site and its contents — including text, design, layout, graphics, logos, the IMG DEV. name and marks, and underlying code — are owned by IMG DEV. LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the site for its intended purpose. No other rights are granted. You may not copy, reproduce, modify, distribute, publish, or create derivative works from any part of the site without our prior written permission, except that you may link to the site and quote short excerpts with attribution.

06Applications and separate terms

Applications published by IMG DEV. are licensed, not sold. Each application may be accompanied by its own end user licence agreement, terms, or store terms (for example those of the Apple App Store or Google Play). Where an application has its own terms, those terms govern your use of that application and control over these Terms to the extent of any conflict. These Terms continue to govern your use of this website.

Any descriptions of unreleased or in-development applications on this site are provided for information only. They are not commitments, and features, timing, pricing, and availability may change or be cancelled at any time.

07Your submissions

If you send us a message, feedback, a bug report, or a suggestion, you retain ownership of what you send. You do, however, grant IMG DEV. a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, and incorporate that feedback into our products without obligation, attribution, or compensation to you.

Please do not send us confidential information or anything you are not free to share. You are responsible for the accuracy and legality of what you submit, and you confirm that you have the right to send it.

08Third-party links and services

The site may contain links to third-party websites, app stores, or services, and relies on third-party providers such as our form processor and web host. We do not control those parties, do not endorse them by linking to them, and are not responsible for their content, policies, or practices. Your dealings with them are solely between you and them.

09Availability and changes

We may modify, suspend, or discontinue the site or any part of it at any time, with or without notice. We do not guarantee that the site will be available uninterrupted or error-free. We may also revise these Terms; when we do, we will update the “Last updated” date above, and your continued use of the site after that constitutes acceptance of the revised Terms.

10Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, IMG DEV. DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the site will be uninterrupted, secure, or free of errors or harmful components, or that any information on it is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IMG DEV. LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER. Some jurisdictions do not allow the limitation of liability for certain damages, so parts of this section may not apply to you.

12Indemnification

You agree to indemnify and hold harmless IMG DEV. LLC and its members, managers, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of your use of the site, your breach of these Terms, or your violation of any law or the rights of a third party.

13Termination

We may restrict or terminate your access to the site at any time, without notice, if we believe you have breached these Terms or if we discontinue the site. Sections that by their nature should survive termination — including sections 05, 07, and 10 through 15 — will survive.

14Governing law and disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law rules. You agree that any dispute arising out of or relating to these Terms or the site will be brought exclusively in the state or federal courts located in the State of Michigan, and you consent to the personal jurisdiction of those courts.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@img-dev.io. We will do the same. Nothing in these Terms limits any right you may have to bring a claim in a small claims court.

15General terms

These Terms, together with the Privacy Policy, are the entire agreement between you and IMG DEV. regarding the site, and supersede any prior agreement on that subject. If any provision is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the rest will remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. Headings are for convenience only.
